Terms of Use

Welcome to SoulPal. These Terms of Use (the “Terms”) form a legal agreement between you and “SoulPal (” “we,” “our,” or “us”) and govern your use of the SoulPal mobile application and any related services (collectively, the “Service”).

By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & 18+

The Service is intended exclusively for adults aged 18 or older. By using the Service you represent and warrant that you are at least 18 years old, that you have full legal capacity to enter into these Terms, and that your use of the Service does not violate any applicable law in your country of residence.

We rely on the date of birth you provide and on the age gate inside the App. We may suspend or permanently terminate any account we have a good-faith reason to believe is held by a person under 18, with or without notice. We do not knowingly create accounts for, or process personal data of, anyone under 18.

2. Your account

• You may hold one account per person. You may not share your account credentials, sell, transfer, or sublicense your account, or let another person use your account.
• You are responsible for keeping your password secure and for all activity that occurs under your account.
• You agree to provide accurate information during sign-up and to keep it up to date.
• If you believe your account has been compromised, contact us immediately at info@soulpal.net.

3. License to use the Service

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on a device you own or control, and to access the Service for your personal, non-commercial use. All rights not expressly granted are reserved by us.

You will not, and will not allow others to:

• copy, modify, translate, decompile, reverse-engineer, disassemble, or attempt to extract source code from the App except to the extent applicable law expressly permits;
• resell, rent, lease, or otherwise monetize access to the Service;
• use any data-mining tools, scraping, automated agents, or bots to access the Service;
• circumvent, disable, or interfere with security, rate limits, or other features of the Service;
• use the Service to develop, train, fine-tune, or evaluate any machine-learning model that competes with the Service.

4. Subscriptions, payments & refunds

Some features of the Service require a paid subscription (currently “Premium” and “Ultra”). All purchases are processed by Apple through your App Store account, in accordance with Apple’s standard terms.

• Auto-renewal. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. You can manage or cancel renewal in your iPhone’s Settings » Apple ID » Subscriptions.
• Price changes. We may change subscription prices in accordance with App Store rules. If a change affects your current subscription, you will be notified and given the opportunity to accept or cancel.
• Refunds. Refund requests are handled by Apple under its own policy (reportaproblem.apple.com). We do not separately offer refunds for amounts already collected by Apple.
• Daily usage limits. Each tier (including Free) has daily limits for messages, post creation, character creation, and chat photos. Reaching a limit pauses the relevant feature until the limit resets at the next UTC midnight. Limits may change over time.

5. Your content

The Service lets you create and share “User Content,” including AI characters you build, images you upload (avatars, post images, photos shared into a chat), captions, posts, comments, memories, friend interactions, and chat messages you send.

You retain ownership of your User Content, but by submitting it to the Service you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for example, to resize images or to combine messages into a chat history), display, and otherwise use that User Content solely to operate, secure, improve, and provide the Service. This license ends when you delete the relevant User Content, except for backups and cached copies that expire on a rolling basis and content already shared with other users.

You represent and warrant that (a) you own or have the necessary rights to all User Content you submit, (b) the User Content does not infringe any third party’s rights, and (c) the User Content complies with these Terms and with applicable law.

6. Prohibited content & conduct

You will not, and will not attempt to, create, upload, post, share, transmit, or generate via the Service any content that:

• sexually exploits, abuses, or endangers minors in any form;
• depicts non-consensual sexual content, revenge pornography, or intimate imagery of any person without their explicit consent;
• uses the name, image, likeness, voice, biography, or distinctive identity of a real, identifiable person (including any public figure, celebrity, influencer, athlete, politician, or private individual) without that person’s express prior consent — this includes creating an AI character intended to represent or be mistaken for a real person;
• impersonates a real person for harassment, defamation, sexual content, fraud, or any other purpose;
• incites or threatens violence against a person or group, or promotes terrorism, hate speech, or genocide;
• encourages or romanticizes self-harm, suicide, or eating disorders;
• promotes the sale or use of weapons, illegal drugs, or other illegal goods;
• contains malware, viruses, or any code intended to harm the Service or its users;
• constitutes harassment, doxxing, stalking, blackmail, or any unlawful threat;
• infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any person;
• misrepresents you, your characters, or the Service in a way likely to mislead another user;
• violates any applicable law or regulation, including export, sanctions, and consumer-protection laws.

You are solely responsible for the User Content you submit and for any consequences of submitting it. We do not pre-screen all User Content and we do not endorse it.

6.1 Photos shared in chat

The Service lets you send a photo from your device gallery into a private chat with an AI character. By sharing such a photo you specifically represent and warrant that:

• you own or have the necessary rights to the photo and the right to share it for AI processing;
• the photo does not contain any other identifiable person who has not given you permission to share their likeness with a third-party AI service;
• the photo does not depict, suggest, or include any minor in a sexual, romantic, or otherwise sexualized context;
• the photo is not a sensitive document (for example, an ID card, passport, payment card, or other personal-data record).

Chat photos are stored privately, run through automated multimodal moderation before the AI character sees them, and are automatically deleted from our storage after 30 days. We may reject any chat photo that fails moderation, and we may suspend or terminate accounts that repeatedly attempt to upload prohibited imagery.

7. AI characters & AI-generated content

SoulPal lets you chat with AI characters and create your own. The replies, captions, descriptions, images, and other output produced by these AI features (collectively, “AI Output”) are generated automatically by third-party AI models and by your own prompts.

7.1 Scope of fictional content

The Service may include fictional romantic or emotionally expressive conversations between adult users and AI characters. These interactions are imaginative role-play between consenting adults and an automated system; they are not, and do not depict, real persons or real relationships. The App does not produce or distribute explicit visual adult media; written exchanges, however, may be suggestive in tone.

You will not, under any circumstances, create, request, prompt, or share content that involves:

• minors (anyone under 18) in any sexual, romantic, suggestive, or otherwise sexualized context, regardless of how the character is framed (real, fictional, animated, “aged-up,” etc.);
• non-consensual scenarios, including but not limited to rape, coercion, manipulation, blackmail, or any depiction that suggests an unwilling participant;
• incest, bestiality, sexual violence, or other content that would be illegal under the laws of the United States, the European Union, or the Republic of Türkiye;
• human trafficking, exploitation, or grooming-style behavior;
• any other content prohibited under Section 6.

Violations of this Section will result in immediate, permanent termination of your account and may be reported to law-enforcement authorities. You acknowledge that we cooperate with lawful requests in connection with such reports.

7.2 Not for emergencies

If a user appears to disclose suicidal ideation, intent of self-harm, or imminent risk of harm to others, the AI characters may surface a generic safety message and direct the user to contact local emergency services. This safety message is automatic, generic, and is not a substitute for real-world help.

• No advice. Do not rely on AI Output for medical, psychological, legal, financial, safety, relationship, or any other professional advice. Always consult a qualified human professional for those needs.
• No human in the loop in real time. Conversations are generated by automated systems. While we apply automated moderation and may apply manual review, no human reviews every message in real time.
• Your responsibility. If you act on AI Output, you do so at your own risk. SoulPal is not responsible for any decision you make, or any harm or loss you suffer, in reliance on AI Output.
• Don’t paste sensitive data. Do not enter information you would not be comfortable processing through a third-party AI provider, including health records, financial credentials, government IDs, or other people’s private data.
• Do not weaponize AI characters. You may not use the AI features to plan, instruct, or facilitate illegal acts, violence, self-harm, exploitation of minors, fraud, harassment, or any prohibited activity listed above.
• Character ownership of AI Output. Where applicable law permits, you do not acquire any exclusive rights in AI Output you cause to be generated; AI Output may be similar or identical to outputs produced for other users.

8. Moderation, reporting & blocking

To keep SoulPal safe and compliant with the Apple App Store guidelines, we operate the following measures:

• Automated content filtering. Newly uploaded characters, post images, captions, and certain chat events run through an automated multimodal moderation model before becoming visible.
• Reporting. Every user can report a character or a post by tapping the report button on the character profile screen (top-right) or the 3-dot menu on the post detail screen, and choosing one of three categories: impersonation, nudity, or violence. The impersonation flow also opens a direct info@soulpal.net message so the affected person can attach evidence. Reports submitted from inside the App land in our moderation queue. We aim to review credible reports within 24 hours.
• Blocking. Users may block any character from inside the App. A blocked character is hidden from your feed, discover, suggestions, search and inbox; chat-completion requests targeting a blocked character are rejected server-side. Blocked entries are managed under Settings » Blocked and can be reversed at any time.
• Removal. We may remove or restrict any User Content at our sole discretion, with or without notice, where we believe it violates these Terms, infringes a third party’s rights, threatens user safety, or exposes us to legal risk.

9. Suspension & termination

We may suspend, restrict, or permanently terminate your access to the Service, and remove any of your User Content, at any time and for any reason — including, without limitation, for actual or suspected violations of these Terms, abuse of the Service, fraud, attempts to circumvent rate limits or moderation, attempts to bypass age controls, or risks to other users.

You may stop using the Service at any time. To close your account, open Settings » Account » Delete account inside the App, or email info@soulpal.net from the address registered to your account. Termination does not entitle you to a refund of fees already paid; refund requests are handled by Apple as described above. Sections that by their nature should survive termination (including, without limitation, content licenses you have granted, disclaimers, indemnification, and limitations of liability) shall survive.

10. Intellectual property

The App, the brand “SoulPal,” the SoulPal logos, the visual design, the underlying software, the seeded characters that ship with the App, and all related content (other than User Content and AI Output) are owned by Yasin Şimşek and protected by copyright, trademark, and other laws. You may not use the SoulPal name, logos, or visual identity without our prior written permission, except for purely informational reference.

11. DMCA & copyright complaints

If you believe content available on the Service infringes a copyright you own or control, please send a written notice to info@soulpal.net with the following information:

1. your full legal name and contact information;
2. identification of the copyrighted work claimed to have been infringed;
3. identification of the material that you claim is infringing, including a URL or other location inside the App;
4. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
5. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf;
6. your physical or electronic signature.

We will respond in accordance with applicable law and may remove the allegedly infringing content. We may also terminate the accounts of users we deem to be repeat infringers. You may submit a counter-notice if you believe content was removed in error.

12. Disclaimers

The service, the app, the seeded characters, all user content, and all AI output are provided to you “as is” and “as available,” with all faults, and without any warranty of any kind.

To the maximum extent permitted by applicable law, SoulPal disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, secure, free of harmful components, or available at any particular time or location, that any defects will be corrected, that AI Output will be accurate or non-offensive, or that the Service will meet your expectations. Your use of the Service is entirely at your own risk.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event will SoulPal, Yasin Şimşek, or any of our affiliates, licensors, service providers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the service, the app, the seeded characters, any user content, or any AI output, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total cumulative liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us through Apple in the six (6) months immediately preceding the event giving rise to the liability, or (b) fifty US dollars (USD 50).

Some jurisdictions do not allow certain limitations of liability or disclaimers of warranties, so some of the limitations above may not apply to you. In those jurisdictions, our liability will be limited to the smallest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless SoulPal, Yasin Şimşek, and our affiliates, licensors, service providers, employees, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content, (b) your use of the Service, (c) your violation of these Terms, (d) your violation of any law or any third-party right, or (e) any AI Output that you generated, prompted, or shared.

15. Apple-specific terms

The following provisions apply to your use of the App on an Apple-branded device or operating system:

• Acknowledgment. These Terms are concluded between you and Yasin Şimşek only, and not with Apple. Apple is not responsible for the App or its content.
• Scope of License. The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Maintenance and Support. Yasin Şimşek is solely responsible for providing any maintenance and support services for the App. Apple has no obligation to furnish any maintenance and support.
• Warranty. Yasin Şimşek is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of a failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App.
• Product Claims. Yasin Şimşek, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including (i) product-liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer-protection or similar legislation.
• Intellectual Property. In the event of any third-party claim that the App or your possession and use of it infringes intellectual-property rights, Yasin Şimşek, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a “terrorist supporting” country; and (ii) you are not listed on any US Government list of prohibited or restricted parties.
• Developer Contact. Direct any questions, complaints, or claims with respect to the App to info@soulpal.net.
• Third-Party Beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16. Governing law & disputes

These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-laws principles. Subject to mandatory consumer-protection laws of your country of residence, the Istanbul (Çağlayan) Courts and Enforcement Offices of Türkiye shall have exclusive jurisdiction over any dispute that cannot be resolved informally.

Before filing a claim, you agree to first contact us at info@soulpal.net to seek an informal resolution. Both parties will use commercially reasonable efforts to resolve the dispute within sixty (60) days.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. If the changes are material, we will provide a more prominent notice (for example, an in-App notification) before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree, you must stop using the Service and may close your account.

18. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any in-App notices we provide, are the entire agreement between you and us regarding the Service and supersede any prior agreement on the subject.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
• No waiver. Our failure to enforce a right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms at any time without notice to you.
• No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, network failures, third-party service-provider failures, or governmental action.
• Language. These Terms are written in English. Any translation is provided for convenience only; in case of conflict, the English version controls.
